This website and store are operated by ProneneCo, LLC (“Pronene,” “we,” “us,” “our”). By visiting our site and/or purchasing from us, you engage in our Services and agree to be bound by these Terms of Service (“Terms”). These Terms apply to all site users, including browsers, vendors, customers, merchants, and contributors of content.

We may update these Terms at any time by posting a revised version. Your continued use of the site following changes constitutes acceptance of the updated Terms. Our store is hosted on Shopify Inc., which provides the e-commerce platform.

1. ONLINE STORE TERMS

By using the Services, you represent that you are at least the age of majority in your state or province of residence (and, if permitting minors to use the site, you are their parent or guardian and consent to their use). You may not use our products for any unlawful purpose. You must not transmit worms, viruses, or harmful code. A breach of these Terms may result in immediate termination of the Services.

2. HEALTH & MEDICAL DISCLAIMER (SUPPLEMENTS)

Content on this site is for informational purposes only and is not medical advice. Always consult a physician before using any dietary supplement, especially if you are pregnant, nursing, have a medical condition, or take medications. Statements regarding dietary supplements have not been evaluated by the U.S. Food and Drug Administration. Our products are not intended to diagnose, treat, cure, or prevent any disease. Individual results vary.

Storage & Usage. Supplements should be stored in a cool, dry place with the lid tightly closed after each use. To ensure maximum potency and safety, products should be used within 60 days of opening. Improper storage or extended exposure to heat, moisture, or sunlight may affect product quality and may void refund eligibility under our Refund Policy.

3. ACCOUNT, ORDER ACCEPTANCE & CANCELLATION

We may refuse or cancel any order, limit quantities per person, household, or account, and restrict orders using the same payment method or address. If we cancel or modify an order, we’ll attempt to notify you via the contact details provided at checkout. You agree to provide current, complete, and accurate purchase and account information and to promptly update it.

4. PRICING, AVAILABILITY & MODIFICATIONS

Prices, product descriptions, and availability are subject to change without notice. We may modify or discontinue the Services (or any part of them) at any time. We are not liable for any modification, price change, suspension, or discontinuance.

5. PRODUCTS; SUBSCRIPTIONS & AUTO-RENEWAL

Some products or Services may be available exclusively online and in limited quantities and are subject to our Refund Policy. Colors and images may appear differently across displays; we cannot guarantee display accuracy.

Subscriptions. If you purchase a subscription, you authorize recurring auto-renewal and recurring charges to your payment method at the then-current price and frequency you select until you cancel. You can cancel any time before the next renewal charge via your account portal or by contacting support@pronene.com. Cancellations apply to future charges and do not retroactively refund shipped orders.

6. SHIPPING; RISK OF LOSS; TITLE

We ship to the address you provide. Risk of loss and title for items pass to you upon our delivery to the carrier. Delivery dates are estimates and not guaranteed. For shipping issues, contact support@pronene.com.

7. RETURNS & REFUNDS

Returns and refunds are governed by our Refund Policy, available here: [link to /policies/refund-policy]. That policy is incorporated by reference into these Terms.

8. OPTIONAL TOOLS & THIRD-PARTY LINKS

We may provide access to third-party tools and links “as is” and “as available” without warranties, representations, or endorsements. Your use of such tools or links is at your own risk and subject to the third party’s terms and privacy policies.

9. USER CONTENT & FEEDBACK

If you submit comments, reviews, ideas, or materials (“Submissions”), you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, publish, translate, distribute, display, and create derivative works from your Submissions in any media, without compensation to you. You represent that your Submissions do not infringe third-party rights or contain unlawful, abusive, or obscene material. We may monitor, edit, or remove content at our sole discretion.

Your submission of personal information is governed by our Privacy Policy.

11. ERRORS, INACCURACIES & OMISSIONS

Occasionally there may be information on the site or Services that contains typographical errors, inaccuracies, or omissions (including relating to product descriptions, pricing, promotions, shipping charges, transit times, and availability). We reserve the right to correct errors and update information at any time without prior notice.

12. PROHIBITED USES

You agree not to use the site or its content: (a) for unlawful purposes; (b) to solicit unlawful acts; (c) to violate laws or regulations; (d) to infringe intellectual property rights; (e) to harass, abuse, defame, disparage, intimidate, or discriminate; (f) to submit false or misleading information; (g) to upload malware or malicious code; (h) to collect or track others’ personal information; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape; (j) for obscene or immoral purposes; or (k) to interfere with security features. We may terminate access for violations.

13. SMS/EMAIL COMMUNICATIONS CONSENT (IF APPLICABLE)

By providing a phone number or email, you consent to receive transactional and promotional messages from us (e.g., order updates, marketing). Message and data rates may apply. You may opt out of marketing emails via the unsubscribe link and opt out of SMS by replying STOP. Consent is not a condition of purchase.

14. DISCLAIMER OF WARRANTIES

Except as expressly stated by us, the site, Services, and all products are provided “as is” and “as available.” We do not warrant that use of the Services will be uninterrupted, timely, secure, or error-free, or that results will be accurate or reliable.

15. LIMITATION OF LIABILITY

To the maximum extent permitted by law, in no event shall Pronene or its affiliates, officers, employees, agents, contractors, suppliers, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, savings, data, or replacement costs, arising from or related to your use of the site, Services, or products. Our total liability for any claim shall not exceed the amount you paid to us for the product or Service giving rise to the claim in the twelve (12) months preceding the event. Some jurisdictions do not allow certain limitations; in such jurisdictions, liability is limited to the maximum extent permitted by law.

16. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Pronene and its affiliates, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, and employees from claims and expenses (including reasonable attorneys’ fees) arising out of your breach of these Terms, your Submissions, or your violation of law or third-party rights.

17. FORCE MAJEURE

We are not liable for delays or failures caused by events beyond our reasonable control, including acts of God, labor disputes, supply-chain disruptions, epidemics, war, governmental actions, or telecommunications failures.

18. GOVERNING LAW; DISPUTE RESOLUTION

These Terms are governed by the laws of the State of Indiana, without regard to conflict-of-laws rules. Venue for any permitted court action shall be in the state or federal courts located in St. Joseph County, Indiana.

Arbitration (optional): Except for claims that may be brought in small-claims court, any dispute arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by JAMS under its Rules. You and Pronene waive jury trial and class actions.

19. SEVERABILITY; NO WAIVER

If any provision is unlawful, void, or unenforceable, it shall be deemed severed without affecting enforceability of the remaining provisions. Our failure to enforce any right is not a waiver of that right.

20. ENTIRE AGREEMENT

These Terms, together with the policies referenced herein (including the Privacy Policy and Refund Policy), constitute the entire agreement between you and us and supersede prior or contemporaneous agreements.
